1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and KeyChannel LLC ("KeyChannel," "we," "us," or "our"), the operator of FixTag (the "Service"), accessible at https://app.fixtag.io.
By creating an account, accessing the Service, or using the public reporting interface (including scanning a QR code), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.
Business Administrator accounts may only be created by individuals who are at least eighteen (18) years of age and who have the legal authority to bind the business entity they represent. Facility Members (as defined below) may use the public reporting interface regardless of age.
2. Description of Service and User Categories
FixTag is a software-as-a-service ("SaaS") platform that enables businesses to track and manage equipment maintenance through QR code-based issue reporting.
The Service involves two distinct categories of users:
A. Facility Members (Public Reporters)
Facility Members are individuals who scan QR codes affixed to equipment to report maintenance issues. Facility Members do not need to create an account, provide a login, or supply any personal information to use the reporting interface. Use of the reporting interface is anonymous by default.
B. Business Administrators (Account Holders)
Business Administrators are business owners, managers, and staff members who create accounts on the Service to manage their facilities, equipment, issues, and team members. Business Administrators access the Service through authenticated sessions and are subject to the subscription and billing terms described herein.
3. Account Registration and Security
This section applies to Business Administrators only.
3.1 Account Creation
To access administrative features, you must register for an account by providing a valid email address, your name, and a password. The business owner who creates the initial account is responsible for all activity under that account and any team member accounts created thereafter.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials. You agree to:
- Use a strong, unique password for your FixTag account;
- Not share your login credentials with unauthorized individuals;
- Promptly notify us at [email protected] if you become aware of any unauthorized access to your account.
KeyChannel LLC is not liable for any loss or damage arising from your failure to safeguard your account credentials.
3.3 Team Member Accounts
Business owners may create additional user accounts for managers and staff within their organization. The business owner is responsible for the actions of all team members and for revoking access when team members depart.
4. Subscription and Billing
4.1 Free Trial
New accounts receive a fourteen (14) day free trial of the Service. No credit card is required. At the conclusion of the trial period, access to administrative features will be restricted until a paid subscription is activated.
4.2 Subscription Tiers
The Service is offered in three subscription tiers (Essential, Professional, and Enterprise), each with varying feature sets and usage limits. Current tier details and pricing are available at fixtag.io/pricing or by contacting [email protected].
4.3 Automatic Renewal
Subscriptions automatically renew at the end of each billing cycle (monthly or annual) at the then-current rate unless canceled before the renewal date. By subscribing, you authorize KeyChannel LLC to charge your designated payment method for each renewal period.
4.4 Subscription Changes and Cancellation
You may upgrade, downgrade, or cancel your subscription through the account settings in the Service dashboard or by contacting [email protected]. Cancellation takes effect at the end of the current billing cycle; you will retain access to paid features until that date. No partial-period refunds are issued for early cancellation.
For annual subscriptions, cancellation takes effect at the end of the current annual term.
4.5 Pricing Modifications
KeyChannel LLC reserves the right to modify subscription pricing. We will provide at least thirty (30) days' written notice of any pricing changes. For customers on annual subscriptions, pricing changes take effect at the next renewal date, not mid-term. Continued use of the Service after a pricing change takes effect constitutes acceptance of the new pricing. If you do not agree to the new pricing, you may cancel your subscription before the change takes effect.
4.6 Refunds
Subscription fees are non-refundable except as required by applicable law or as otherwise determined at our sole discretion.
5. Acceptable Use Policy
You agree to use the Service only for its intended purpose: equipment and facility maintenance tracking. You agree not to:
- Misuse the reporting interface by submitting reports unrelated to equipment or facility maintenance, including but not limited to political content, commercial advertisements, spam, or promotional materials;
- Submit threatening, harassing, or abusive content directed at individuals;
- Attempt to circumvent rate limits or abuse the reporting system through automated tools, scripts, or bots;
- Scrape, harvest, or collect data from the Service through automated means;
- Reverse engineer, decompile, or disassemble any portion of the Service;
- Impersonate another person or entity or misrepresent your affiliation with a person or entity;
- Use the Service in violation of any applicable law or regulation.
AI-Assisted Features
The Service includes optional AI-assisted features available to Business Administrators:
- Equipment Analysis. The Service may use AI to analyze equipment photographs uploaded by Business Administrators and suggest equipment details such as name, type, manufacturer, and category. These suggestions are presented for your review. No changes are saved automatically; you must explicitly accept any suggestion.
- Image Generation. The Service may use AI to generate studio-style product images from equipment photographs you upload. Generated images are presented for your review before use.
- Content Moderation. Issue reports submitted through the public reporting interface are reviewed by an automated AI content moderation system. See the Content Moderation section below for details.
Use of AI-assisted equipment analysis and image generation features is optional and user-initiated. By using these features, you authorize the Service to transmit the relevant photographs to third-party AI service providers for processing. Only the photograph is transmitted; no personal information accompanies the request.
Rate Limits
The public reporting interface is limited to ten (10) issue reports per device per twenty-four (24) hour period to prevent abuse. These limits are enforced through device fingerprinting technology, which is used solely for abuse prevention and is not used for tracking or identification purposes.
Content Moderation
All issue reports submitted through the Service are subject to automated content moderation powered by artificial intelligence. Reports that are flagged by the moderation system are held for review by the applicable Business Administrator before being made visible. KeyChannel LLC reserves the right to remove any content that violates this Acceptable Use Policy.
6. Content and Data Ownership
6.1 Your Content
You retain ownership of all data you submit to the Service, including but not limited to business information, equipment records, location data, issue reports, and photographs ("Your Content"). KeyChannel LLC does not claim ownership of Your Content.
6.2 License Grant
By using the Service, you grant KeyChannel LLC a limited, non-exclusive, worldwide license to process, store, display, and transmit Your Content solely as necessary to provide and maintain the Service. This license terminates when your account is deleted and Your Content is removed from our systems.
6.3 Aggregated and Anonymized Data
KeyChannel LLC may generate aggregated, anonymized, and de-identified data derived from your use of the Service ("Aggregated Data"). Aggregated Data does not identify you, your business, or any individual. KeyChannel LLC may use Aggregated Data for purposes including product improvement, industry benchmarking, and research. You retain no rights in Aggregated Data.
6.4 Our Intellectual Property
The Service, including its design, code, features, logos, and the FixTag name, is the intellectual property of KeyChannel LLC. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.
6.5 No Sale of Data
KeyChannel LLC does not sell, rent, or trade Your Content or personal information to third parties. We do not use Your Content for advertising purposes.
7. Content Moderation
7.1 Automated Review
Issue reports submitted through the public reporting interface are reviewed by an automated content moderation system powered by artificial intelligence, including third-party AI services. This system evaluates report text for relevance to equipment maintenance and for compliance with our Acceptable Use Policy.
7.2 Flagged Content
Reports flagged by the moderation system are held in a pending state and are not distributed to the facility's team until a Business Administrator reviews and approves them.
7.3 Content Removal
Content rejected by a Business Administrator is permanently deleted from the Service. KeyChannel LLC reserves the right to remove any content that violates these Terms, with or without notice.
8. Anonymous Reporting
8.1 No Account Required
Facility Members may report equipment issues by scanning a QR code without creating an account, providing a name, or logging in. Reports are anonymous by default.
8.2 Device Fingerprinting
The Service uses a hashed device fingerprint to enforce rate limits and prevent abuse. This fingerprint is derived from general browser and device characteristics. It is not linked to your identity and is not used for tracking, profiling, or advertising purposes.
8.3 Optional Email
Facility Members may optionally provide an email address to receive a notification when a reported issue is resolved. This email is used solely for that purpose and is not shared with third parties.
9. Data Deletion and Account Termination
9.1 Voluntary Termination
Business Administrators may request account deletion at any time through the account settings in the Service dashboard or by contacting [email protected]. Upon receiving a deletion request, we will:
- Permanently delete all associated business data, including locations, equipment, issues, users, and photographs;
- Return any activated gear tags to an unassigned state (physical QR code stickers will remain on equipment but will no longer be linked to your business);
- Remove all team member accounts and associated authentication data.
9.2 Data Export
Prior to account deletion, Business Administrators may request an export of their data by contacting [email protected]. We will provide the export in a standard machine-readable format within a commercially reasonable timeframe.
9.3 Data Retention After Deletion
Following a deletion request, your data will be permanently removed from our active systems within thirty (30) days. During this period, data may be recoverable in the event you change your mind. Backup copies may persist in encrypted, offline backups for up to ninety (90) additional days, after which they are permanently purged.
9.4 Termination by KeyChannel
KeyChannel LLC may suspend or terminate your access to the Service if we reasonably believe you have violated these Terms. Where practicable, we will provide notice and an opportunity to cure the violation before termination. In cases involving fraud, abuse, or illegal activity, KeyChannel LLC may suspend access immediately without prior notice.
9.5 Effect of Termination
Upon termination, your right to access the Service immediately ceases. Sections 6 (Content and Data Ownership), 10 (Intellectual Property), 11 (Disclaimers and Limitation of Liability), 12 (Indemnification), and 15 (Governing Law) survive termination.
10. Intellectual Property
The FixTag name, logo, visual design, and all associated branding are the property of KeyChannel LLC. You may not reproduce, modify, distribute, or create derivative works of any portion of the Service without our prior written consent.
All third-party trademarks referenced within the Service are the property of their respective owners.
11. Disclaimers and Limitation of Liability
11.1 "As Is" Service
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11.2 No Safety Guarantee
FIXTAG IS A REPORTING AND TRACKING TOOL. IT IS NOT A SUBSTITUTE FOR PROFESSIONAL EQUIPMENT INSPECTION, MAINTENANCE, OR SAFETY PROGRAMS. KEYCHANNEL LLC DOES NOT GUARANTEE THAT THE USE OF THE SERVICE WILL PREVENT EQUIPMENT FAILURES, INJURIES, OR PROPERTY DAMAGE. THE TIMELINESS AND ADEQUACY OF ISSUE RESOLUTION IS THE SOLE RESPONSIBILITY OF THE SUBSCRIBING BUSINESS. KEYCHANNEL LLC IS NOT RESPONSIBLE FOR ANY INJURY, DAMAGE, OR LOSS RESULTING FROM A BUSINESS'S FAILURE TO ACT ON REPORTED ISSUES.
11.3 AI-Generated Content
AI-generated equipment details and images are provided on an "as-is" basis and may contain errors, inaccuracies, or omissions. You are responsible for reviewing all AI-generated content before saving or publishing it. KeyChannel LLC makes no warranty regarding the accuracy, completeness, or fitness for purpose of any AI-generated suggestions or images. You bear sole responsibility for any decisions made based on AI-generated content.
11.4 Third-Party Services
The Service relies on third-party infrastructure providers, including but not limited to hosting, database, email delivery, and artificial intelligence services. KeyChannel LLC is not liable for any interruption, data loss, or degradation of the Service caused by the failure or unavailability of third-party services.
11.5 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KEYCHANNEL LLC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE LESSER OF: (A) THE TOTAL FEES PAID BY YOU TO KEYCHANNEL LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE THOUSAND DOLLARS ($1,000).
IN NO EVENT SHALL KEYCHANNEL LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, REGARDLESS OF WHETHER KEYCHANNEL LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.6 Uptime
KeyChannel LLC will use commercially reasonable efforts to maintain the availability of the Service but does not guarantee uninterrupted or error-free operation. Scheduled maintenance may temporarily affect availability, and we will endeavor to provide advance notice of planned downtime.
12. Indemnification
You agree to indemnify, defend, and hold harmless KeyChannel LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service;
- Your violation of these Terms;
- Your violation of any applicable law or regulation;
- Any content you submit through the Service;
- Any claim by a third party arising from or related to the maintenance, condition, or safety of equipment tracked using the Service.
13. Force Majeure
KeyChannel LLC shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond its reasonable control, including but not limited to: natural disasters, acts of government, pandemics, war, terrorism, labor disputes, power failures, internet or telecommunications disruptions, cyberattacks, or the failure of third-party hosting, infrastructure, or service providers.
14. Modifications to the Service and Terms
14.1 Service Modifications
KeyChannel LLC reserves the right to modify, suspend, or discontinue any feature of the Service at any time. For material changes that significantly affect your use of the Service, we will provide at least thirty (30) days' notice.
14.2 Modifications to Terms
We may update these Terms from time to time. Material changes will be communicated via email to the address associated with your account at least thirty (30) days before they take effect. Your continued use of the Service after updated Terms take effect constitutes acceptance of those Terms. If you do not agree to the revised Terms, your sole remedy is to cancel your subscription before the effective date.
15. Governing Law and Dispute Resolution
15.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
15.2 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules then in effect. The arbitration shall take place in New York County, New York. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
The arbitrator may award relief only on an individual basis and only to the extent necessary to resolve the individual Dispute. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class, collective, or representative proceeding.
15.3 Class Action Waiver
YOU AND KEYCHANNEL LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
15.4 Small Claims Exception
Notwithstanding the above, either party may bring an individual action in small claims court in New York County, New York, if the claim falls within that court's jurisdictional limits.
15.5 Injunctive Relief
Nothing in this Section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
16. Severability
If any provision of these Terms is held to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
17. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and KeyChannel LLC regarding the Service and supersede all prior agreements and understandings.
